General sales terms and conditions

Any commercial relationship between the seller (Tallone Sport) and a buyer is governed by the following general sales terms and conditions :

The USA Soccer Shop (usasoccershop.com) is a website published by the Tallone Sport company.

Article 1: Application and Opposability of the Sales Terms and Conditions
It is agreed that any person or entity who decides to purchase items from the Tallone Sport company has read and approved the following sales terms and conditions. The person or entity, hereinafter referred to as the "buyer," fully approves of these terms and conditions. The Tallone Sport company shall be hereinafter referred to as the "seller" in this present agreement.

Article 2: Orders
Orders are considered confirmed when the buyer has duly completed, dated and signed the order form provided by the seller or when the buyer has paid by credit card, using the on-line payment page. The order form includes a summary of all the services and items that figure in the sale and the special terms and conditions inherent in the sale itself. The absence of special terms and conditions on the order form indicates that these present terms and conditions apply. The seller reserves the right to partially or totally cancel orders resulting from inventory insufficiencies and/or industrial complications. The resulting benefits of an order belong exclusively to the buyer and they cannot be transferred over to a third party without the express consent of the seller. The buyer may cancel all or part of his order within the limits of the law.

Article 3: Deliveries - Delivery Time
Delivery time depends upon the availability of items in stock and industrial conditions. They are merely indicative in nature, and this includes delivery times cited on quotations and order forms. All requests for express delivery are subject to added charges depending upon the destination, and shall be billed to the buyer. The seller has the authorization to make partial deliveries. In the possible event that a delivery exceeds an quotationd timeframe, it does not justify the cancellation of outstanding orders, payment reductions, non-payment, refusal of goods upon delivery or the reclamation of damages on the part of the buyer. If the buyer does not make a claim to the carrier, the delivery is considered to be in accordance with the order. Delivery will be made only if the buyer is up to date with regards to his obligations (his financial obligations to the seller in particular). The Delivery timeframe is set at 30 days.

Article 4: Delivery - Responsibility and the Transfer of Responsibility
Goods are shipped at the buyer's risk. Any complaint concerning the state of goods upon delivery must be addressed to the seller within 24 hours after the delivery date.

Article 5: Returns
The buyer must pay all delivery charges for returned goods for whatever reason and even if the seller is responsible for the cause of such a return.

Article 6 : Cancellation Terms
The seller is relieved of his obligation to the buyer in the event that any industrial complication or other unexpected event directly or indirectly influences Tallone Sport company's business concern.

Article 7 : Sale Price
Prices listed on the seller's website or in any other publication are indicative in nature. Only prices listed on the order form are to be considered binding. This present article of the sales terms and conditions is completed by article 16 : "Information Indicated on the Website."

Article 8: Payment
Payment is made to the registered office by credit card, check or credit transfer, either before delivery or upon delivery. It is possible to negotiate an installed payment program. Such payments should adhere to the timeframe indicated on the order form. In the event that the buyer does not adhere to payment deadlines, the seller may resort to any legal action, within the boundaries of the legislation that governs the buyer's country, so as to secure payment. The seller may require a down payment upon order that must be paid by check and included with the completed, dated and signed order form. The aforementioned down payment is set at 40% of the total amount (all charges included) that figures upon the order form. The remaining sum must be paid between the delivery date and the deadline set on the order form. In the event that the order form does not provide a payment deadline, payment must be made within 15 days upon delivery.

Article 9: Payment Guarantee
The seller may require a payment guarantee before the order is signed, depending upon the size of an order or for any other reason considered as valid by the seller.

Article 10: Property Title Clause
It is expressly agreed that the seller retains the property title of delivered goods from their delivery date to the time when full payment of their listed price is made. The buyer, on the other hand is subject to the transfer of liability for delivered goods when he signs the receipt.

Article 11: Participating in Administrative Costs
The buyer may be billed for certain administrative costs.

Article 12 : Territoriality
Sales contracts are considered as finalized in Italy. They are thus subject to Italian Law.

Article 13: Lawsuits
All disputes shall be handled by Italian courts.

Article 14: Delivered Goods
In the event that ordered goods are no longer available on the market, the buyer may be delivered equivalent goods without modifications made to their price.

Article 15: Guarantee - "Satisfaction or your money back"
In the event that the buyer is not completely satisfied with any item, he has 10 days to exchange it or be reimbursed. This guarantee does not apply to personalized items.

Article 16: Information Indicated on the Website
Information provided by the website (prices, photos, texts, images, etc.) are strictly indicative in nature and are by no means legally binding, with the exception of pages concerning the sales terms and conditions. Furthermore, information published on the website is subject to royalties and copyrights. The Tallone Sport or USA Soccer Shop website may be consulted but any other use of its contents is strictly forbidden. Prices that are listed in Euros (tax not included) are followed by the word "Euros." Listed prices do not include added charges resulting from personalized items. Prices listed in US Dollars (USD or US $) are strictly indicative in nature.

Article 17: Postage
Delivery is free of charge for any order amounting to 10,000 Euros (tax not included and amount before postage). This offer is only valid in the USA and Canada. Delivery costs depend upon the destination, weight and volume. This charge appears on the quotation, which the seller shall send to the buyer upon request.

Article 18: Personalized Items
Personalized items may be manufactured and sent to the buyer for approval before an eventual purchase. This is an optional service, however, and the seller is not obliged to provide it. This service is primarily targeted at buyers who intend to order a large quantity of goods. The buyer must contact the seller to verify if he is eligible for this service. The seller remains the sole owner of any personalized examples sent to the buyer. These items are sent to him for approval. Examples are sent only after the seller has obtained the buyer's credit card number (by phone or fax), or received a security deposit from the buyer, the amount of which is fixed by the seller and communicated to the buyer by e-mail or other means. The seller is responsible for postage when sending the examples while the buyer must pay for return postage. In the event that the items are not returned, the current market value of the goods (including postage costs) will be debited from the buyer's account or the security deposit will be cashed.

Article 19: Samples
The seller may send the buyer fabric swatches, shirt models (or any other item of interest to the buyer). This is an optional service, however, and the seller is not obliged to provide it. The buyer must contact the seller to verify if he is eligible for this service. Samples are sent (swatches or models) only after the seller has obtained the buyer's credit card number. The seller remains the sole and indefinite owner of any sample sent to the buyer. In the event that the items are not returned, the current market value of the goods (including postage costs) will be debited from the buyer's account or the security deposit will be cashed.

Article 20: Computer Processing of Personal Data
The seller reserves the right to create and manage one or more databases containing names, details and other information concerning possible buyers. Buyers, or any other person, that have provided the seller with personal information have the legal right to access and to modify any information that concerns them. In the event that individuals or clubs wish to be deleted from the database, they simply must send their request by e-mail. The seller shall not disclose this information to a third party without the individual's express consent.

Article 21: Minimum Orders
The seller has the right to refuse orders in which the volume is esteemed as being insufficient.
